Mahiruho Consulting Services Pvt. Ltd ("MCS," "we," "our," or "us") provides software solutions, consulting services, and related offerings via our website www.mahiruho.com. These Terms of Service ("Terms") govern your access to and use of our Website, software products, and professional services. By using our Website or Services, you agree to these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing www.mahiruho.com, requesting our services, or using our software products (including mChatBot and other MCS products), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Website or our Services.

If you accept on behalf of a company, you represent that you have authority to bind that company. "You" or "Customer" means that business entity and its authorized users.

2. Services Covered

These Terms apply to:

  • Our Website and related content, inquiry forms, and communications.
  • Our software products and SaaS platforms (including but not limited to mChatBot and other MCS-branded products).
  • Our consulting and professional services (custom software, management consulting, AI-related services, and related engagements).

Specific commercial terms (pricing, scope, SLAs, timelines) may be set out in a separate proposal, order form, or agreement. Where those conflict with these Terms on commercial specifics, the signed commercial document controls for that engagement.

3. Accounts and Access

  • You must provide accurate registration and account information and keep it updated.
  • You are responsible for safeguarding login credentials and for activity under your accounts.
  • Notify us promptly of unauthorized access or security incidents involving your account.
  • We may suspend or restrict access for security reasons, non-payment (where applicable), misuse, or legal or compliance risk.

4. Acceptable Use

You agree not to:

  • Use the Services unlawfully or in violation of applicable laws or third-party platform policies (including Meta / WhatsApp policies where applicable).
  • Send spam, scam, harassing, fraudulent, or otherwise prohibited content.
  • Attempt unauthorized access to systems, accounts, or data.
  • Interfere with Service integrity, availability, or security.
  • Reverse engineer, copy, or resell the Services except as expressly permitted by us in writing.
  • Upload malware or content that infringes others’ rights.

We may investigate and take action (including suspension) for suspected violations.

5. mChatBot and WhatsApp Business Platform

mChatBot is a B2B SaaS admin platform provided by MCS.

Tech Provider Role:

When you connect WhatsApp to mChatBot, you authorize Meta so mChatBot can act as a Tech Provider for your WhatsApp Business Account (WABA). We process WhatsApp-related data on your behalf to operate messaging features you configure.

Your Responsibilities as the Business Customer:

You:

  • Control templates, sends, connected assets, and messaging configuration.
  • Are primarily responsible for the messaging relationship with your end users.
  • Must obtain any required consents and comply with applicable laws and Meta/WhatsApp Business policies (including opt-in, content, and template rules).
  • Are responsible for the content of messages and templates you create or instruct us or the platform to send.

Our Role:

We provide the platform and Tech Provider connectivity so you can send and receive WhatsApp messages, manage templates and WABA assets, and view delivery and audit status in your admin account — as configured by you.

Third-Party Dependency:

WhatsApp messaging depends on Meta’s WhatsApp Business Platform. Availability, features, pricing charged by Meta (if any), and policy enforcement are controlled by Meta. We are not liable for Meta outages, policy changes, account restrictions, or Meta’s decisions regarding your WABA.

No Resale of Conversation Data; Not for Mahiruho Ads:

We do not sell WhatsApp conversation data and do not use your WhatsApp message content to run Meta ads for Mahiruho. Website advertising practices are separate and described in our Privacy Policy.

Data Handling:

WhatsApp-related processing is described in our Privacy Policy (including the mChatBot and WhatsApp section). Hosting is on infrastructure such as AWS.

6. Customer Content and Data

  • You retain ownership of content and data you submit to the Services ("Customer Content"), including WhatsApp message content processed on your behalf.
  • You grant MCS a limited license to host, process, transmit, and display Customer Content solely to provide and support the Services.
  • You represent that you have rights to Customer Content and that use via our Services does not violate law or third-party rights.
  • Privacy practices are governed by our Privacy Policy.

7. Intellectual Property

  • MCS (and its licensors) own the Website, software, branding, documentation, and related intellectual property.
  • Except for a limited, non-exclusive right to use the Services as subscribed, no intellectual property rights are transferred to you.
  • Feedback you provide may be used by MCS to improve products without obligation to you.

8. Fees and Payment

Where fees apply:

  • Fees, billing cycles, and payment terms are as stated in your order form, proposal, invoice, or product plan.
  • Unless stated otherwise, fees are non-refundable except as required by law or expressly agreed in writing.
  • Late or failed payment may result in suspension.
  • Taxes (including GST, where applicable) may be added as required by law.

If some products are offered on a free or trial basis, usage remains subject to these Terms and any trial limits we publish.

9. Consulting and Professional Services

For consulting engagements:

  • Scope, deliverables, timelines, and fees are defined in the applicable statement of work or proposal.
  • Client cooperation (access, decisions, data, stakeholders) is required for timely delivery.
  • Unless otherwise agreed in writing, MCS retains pre-existing tools, frameworks, and know-how; the client receives rights to deliverables as specified in the engagement documents.

10. Third-Party Services and Links

The Website and Services may integrate with or link to third parties (e.g., Meta, Google, AWS, payment providers). Their terms and privacy policies apply to their services. We are not responsible for third-party sites or services we do not control.

11. Service Availability and Changes

  • We aim for reliable availability but do not guarantee uninterrupted or error-free service.
  • We may modify, suspend, or discontinue features with reasonable notice where practicable.
  • Scheduled maintenance or emergency security actions may temporarily affect access.

12. Disclaimer of Warranties

Except as expressly stated in a signed agreement, the Website and Services are provided "as is" and "as available." To the maximum extent permitted by law, MCS disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law:

  • MCS is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data.
  • MCS’s total aggregate liability arising out of these Terms or the Services is limited to the fees you paid to MCS for the affected Service in the twelve (12) months preceding the claim (or, if no fees were paid, INR 5,000).
  • Nothing in these Terms excludes liability that cannot be limited under applicable law (e.g., fraud or willful misconduct, where mandated).

14. Indemnity

You agree to indemnify and hold MCS harmless from claims arising out of: (a) your Customer Content; (b) your use of the Services in violation of these Terms, law, or Meta/WhatsApp policies; (c) your messaging to end users; or (d) disputes between you and your end users or other third parties.

15. Suspension and Termination

  • You may stop using the Services at any time; account or subscription termination follows your plan or written agreement.
  • We may suspend or terminate for material breach, non-payment, legal risk, or platform-policy violations (including Meta-related risk).
  • Upon termination, your right to access ends. Data retention and deletion follow our Privacy Policy and any contractual retention terms. WhatsApp disconnection may be required on your side with Meta.

16. Privacy

Personal data handling is described in our Privacy Policy. These Terms and the Privacy Policy should be read together.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the Effective Date. Continued use after changes constitutes acceptance, except where applicable law requires additional notice or consent.

18. Governing Law and Disputes

These Terms are governed by the laws of India. Courts in Kolkata, West Bengal, shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived.
